JSD Standard Terms and Conditions -(2026.06)

Effective Date — June 1, 2026


1. Project Scope

Projects are limited to the services, deliverables, and work products specifically described within the approved proposal, quote, statement of work, or other written agreement.

Unless otherwise stated in writing, deliverables are intended solely for the purposes described within the approved project scope.


2. Project Information

Proposals and schedules are based upon information available at the time of quoting.

If significant new information, design changes, project requirements, consultant information, architectural packages, engineering packages, owner requirements, or other project information is introduced after work has commenced, additional fees and schedule adjustments may be required.


3. Revisions

Project fees include reasonable revisions directly related to the approved project scope and the information available at the time of quoting.

Reasonable revisions generally include clarification, refinement, correction, coordination, and adjustment of work previously performed within the approved scope.


4. Additional Services & Scope Expansion

Requests that materially expand the original scope, modeling area, level of detail, deliverables, design intent, schedule requirements, project objectives, or information available at the time of quoting may require additional fees and schedule adjustments.

Examples may include, but are not limited to:

  • Additional modeled areas
  • Additional deliverables
  • Alternate design options
  • Significant redesigns
  • New geometry, systems, disciplines, or project requirements not included in the original scope
  • Additional rendering, animation, presentation, documentation, reporting, analysis, or coordination services
  • Incorporation of substantial new information received after work has commenced

Determination of whether a requested change constitutes a revision or an expansion of scope shall be made by JSD in good faith and communicated prior to performing additional work.


5. Schedule

Delivery dates are based upon timely access to project information, approvals, decisions, and client feedback.

Schedule commitments may be adjusted when required information, approvals, or client responses are delayed.


6. Project Authorization & Deposits

Project scheduling and production time may be reserved upon written approval of a proposal and, where applicable, receipt of any required deposit.

JSD reserves the right to require deposits, retainers, milestone payments, or other advance payment arrangements depending upon project size, schedule requirements, scope, or client relationship.

Any required payment schedule will be specified within the approved proposal.


7. Payment

Invoices are due according to the payment terms specified within the approved proposal.

Amounts unpaid beyond the stated payment terms may result in suspension of work, withholding of deliverables, delay of future services, or cancellation of scheduled production time until outstanding balances are resolved.


8. Travel & Reimbursable Expenses

Where travel is required, travel time, per diem, lodging, transportation, parking, tolls, rental vehicles, airfare, and other project-related expenses may be billed separately unless otherwise stated in writing.

Travel arrangements shall be booked directly by JSD and reimbursed by the Client at actual cost.

JSD retains any airline miles, hotel points, rental vehicle rewards, loyalty benefits, status credits, upgrades, or similar travel benefits associated with project travel.


9. Ownership

Ownership of final deliverables transfers to the Client upon receipt of full payment.

JSD retains ownership of all pre-existing intellectual property, methodologies, templates, workflows, scripts, automation tools, standards, libraries, reusable internal business processes, and other proprietary tools utilized during project execution.


10. Portfolio & Promotional Use

Unless otherwise agreed in writing, JSD reserves the right to reference completed projects and display project deliverables, images, renderings, drawings, models, screenshots, descriptions, project names, and related work product for portfolio, marketing, promotional, educational, award submission, business development, and demonstration purposes.

JSD shall make reasonable efforts not to disclose information that is clearly identified as confidential, proprietary, or trade-secret information by the Client.

If a project is subject to confidentiality requirements, non-disclosure obligations, or publication restrictions, such restrictions must be communicated and agreed to in writing prior to commencement of work.


11. Intended Use

Unless specifically stated otherwise in writing, deliverables are intended for planning, visualization, design development, coordination, analysis, and related project purposes.

Deliverables are not intended for permit, engineering, fabrication, construction-document, life-safety, or other professional certification purposes unless explicitly stated otherwise in writing.


12. Limitation of Reliance

Deliverables are prepared using information available at the time of production.

JSD shall not be responsible for errors, omissions, conflicts, inaccuracies, or resulting impacts arising from incomplete, inaccurate, conflicting, or subsequently revised information supplied by others.


13. Acceptance

Approval of a proposal, quote, statement of work, purchase order, commencement of work, payment of an invoice, or acceptance of deliverables shall constitute acceptance of these Terms & Conditions unless otherwise agreed in writing.
